1. Agreement to these terms

These terms and conditions (the “Terms”) govern your use of the website at geniusda.com (the “Site”), operated by Genius Development Agency (“GDA”, “we”, “us”) of Surrey, British Columbia, Canada. By accessing or using the Site you agree to be bound by these Terms. If you do not agree with them, do not use the Site.

2. What the Site is for

The Site describes the services GDA offers, shows examples of our work, and gives you a way to contact us. The content is provided for general information about our studio. It is not professional, legal, financial, or technical advice for your specific situation, and you should not rely on it as such. Content may change, be removed, or become out of date at any time without notice.

3. Inquiries are not engagements

Submitting the contact form, receiving a reply from us, or having an introductory conversation does not create a client relationship, a contract, or any obligation on either side. Nothing on this Site is a binding offer. Prices, timelines, or capabilities mentioned anywhere on the Site are illustrative until they appear in a signed agreement.

Please do not send confidential or proprietary information through the contact form. Until a written agreement covering confidentiality is in place, anything you send is provided at your own discretion.

4. Client work is governed separately

Actual project work, including scope, pricing, payment terms, timelines, deliverables, warranties, and ownership of what we build for you, is governed exclusively by the written agreement signed for that project. If anything in these Terms conflicts with a signed project agreement, the project agreement wins.

5. Intellectual property

The text, design, code, graphics, logo, and other content of the Site belong to GDA or are used with permission. The Wayfield name and any client names or marks referenced on the Site belong to their respective owners.

You may view, download, and print pages from the Site for your own evaluation of our services. You may not republish, resell, scrape at scale, or present the Site’s content as your own without our written permission. Quoting short excerpts with attribution is fine.

6. Acceptable use

When using the Site, you agree not to:

• Submit false, misleading, or abusive content through the contact form, or use it to send spam or solicitations
• Attempt to gain unauthorized access to any part of the Site, including administrative areas, the database, or other users’ information
• Interfere with the operation of the Site, including by transmitting malware, flooding the form, or attempting denial of service
• Use automated tools to harvest content or data from the Site at scale
• Use the Site in violation of any applicable law

We may block, rate limit, or refuse service to anyone who violates these rules, and we may preserve and disclose relevant records where the law requires it.

7. Privacy

Our collection and use of personal information through the Site is described in our privacy policy, which forms part of these Terms.

8. Third party sites and services

The Site may contain links to websites and services we do not operate. We are not responsible for their content, availability, or practices. A link is not an endorsement. The Site itself runs on third party infrastructure (hosting and database providers), whose availability is outside our complete control.

9. Disclaimers

The Site is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties and conditions of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Site will be available at any particular time or that it is free of harmful components.

10. Limitation of liability

To the maximum extent permitted by law, GDA and its principal will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost data, or business interruption, arising out of or relating to your use of the Site, even if we have been advised of the possibility of such damages. To the extent any liability cannot be excluded, our total aggregate liability relating to the Site is limited to one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing in these Terms excludes liability that cannot lawfully be excluded.

For clarity: this section is about the Site. Liability connected to client projects is addressed in each project’s own agreement.

11. Indemnity

You agree to indemnify GDA against claims, damages, and reasonable costs arising from your breach of these Terms or your misuse of the Site.

12. Changes to these terms

We may update these Terms from time to time. The current version, with its effective date, will always be on this page. Changes apply from the moment they are posted. Continuing to use the Site after a change means you accept the updated Terms.

13. Severability and waiver

If any part of these Terms is found unenforceable, the rest remains in effect, and the unenforceable part is replaced with the closest enforceable equivalent. Our not enforcing a provision is not a waiver of our right to enforce it later.

14. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there. Any dispute relating to the Site that we cannot resolve informally will be brought in the courts of British Columbia, and you agree to their jurisdiction. We would genuinely rather sort things out over email first: gda@geniusda.com.
